Welcome to TechNova. These Terms & Conditions govern your use of our website, services, and products. By accessing or using TechNova services, you agree to be bound by these terms. If you disagree with any part of these terms, you must not access our service.

TechNova provides enterprise IT solutions including, but not limited to, custom software development, cloud infrastructure management, cybersecurity consulting, and data analytics. Specific services will be detailed in separate Statements of Work (SOW) or service agreements.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice. We will not be liable to You or any third party for any modification, suspension, or discontinuation of the Service.

4. User Accounts

When You create an account with Us, You must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms.

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password.

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

5. Your Responsibilities

As a user of our services, You agree to:

  • Provide all necessary equipment, internet access, and software required to use our Service.
  • Ensure that any information You provide to TechNova is accurate and does not violate any third-party rights.
  • Not use our services for any illegal or unauthorized purpose.
  • Refrain from transmitting any worms, viruses, or any code of a destructive nature.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of TechNova and its licensors. The Service is protected by copyright, trademark, and other laws of Germany and foreign countries.

Subject to these Terms, We grant You a limited, non-exclusive, non-transferable, revocable license to use the Service for Your internal business purposes.

Any software, code, or proprietary technology developed specifically for You under a separate contract shall be owned by You upon full payment, subject to the licensing of any third-party components incorporated therein.

7. Client Data and Privacy

We respect Your privacy. Our collection and use of personal information is governed by our Privacy Policy. By using the Service, You consent to the collection and use of information in accordance with our Privacy Policy.

You retain all rights to the data You upload or submit to our platforms. TechNova acts as a data processor on Your behalf and will handle all data in accordance with applicable data protection laws (GDPR).

8. Payment Terms

Payment terms for specific services will be outlined in the relevant Service Agreement or Statement of Work. Generally, payments are due within 30 days of invoice date.

We reserve the right to suspend services for non-payment. All fees are exclusive of taxes, which You are responsible for paying unless otherwise stated.

9. Limitation of Liability

To the fullest extent permitted by applicable law, TechNova shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from Your access to or use of or inability to access or use the Service.

Our total liability to You for all claims under this Agreement shall not exceed the amount You paid to Us for the Service that gave rise to the claim in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TechNova and its affiliates, officers, directors, employees, consultants, agents, and suppliers, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from Your use of the Service or Your violation of these Terms.

11. Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach the Terms.

Upon termination, Your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, please stop using the Service.
